1. Introduction

This Manual of Ethics and Behaviour aims to establish the ethical principles and rules of behaviour which must guide the internal and external relationships of all hierarchical levels of the company WR PRIME LOG, including the third parties as well. The compliance to the contents of this Manual of Ethics and Behaviour Code by each collaborator, not only represents the guarantee of full attainment to the current legislation but also allows the safe and sustained expansion of the company.
This manual brings precise rules about the compliance for the concurrence policies and national and international anticorruption measures. Besides that, it states the rules of behavior for WR´s PRIME LOG partners and its employees, third parties and suppliers, as well.

3. Internal Relationship

3.1 Accepted Behaviour:
The stakeholders relationships, directly or indirectly involved with any activity of WR PRIME LOG, such as clients, government, suppliers, etc, irrespective of the post or hierarchical level they are in, must be in comply with the Values of the company. Whereas the positive and constructive behaviours will be praised, the unaccepted ones will be sanctioned, as follows

  • • No discrimination due to race, complexion, gender, age, religion, physical appearance and sex orientation is accepted.
  • • It is strictly forbidden to use the company´s systems and resources for different purposes than the ones specific for the collaborator´s role.
  • • It is also forbidden to divulge and propagate fake News, pornography, jokes, games and political marketing.
  • • No employee is allowed to work under alcohol and other illegal drugs effects.
  • • It is not admitted any action against the built patrimony and assets of the company.
  • • All other provisions listed in the article 482 of Labor Consolidated Law.

    Art. 482 - The provisions below ratify dismissal with due cause of the Labor Contract by the employer:
  • a. Act of improbity;
  • b. Incontinence of behaviour or bad procedure;
  • c. Customary negotiation on his/her own or for the account of a third party without the employer´s permission and when the act is considered as a concurrence to the company he/she works for or else cause bias to the service;
  • d. Criminal condemnation of the employee, already judged, without the suspension of the sentence conviction;
  • e. Negligence in the performance of the due obligations;
  • f. Customary hangover or in the workplace;
  • g. Violation of the trade secrets of the company;
  • h. Act of indiscipline or insubordinación;
  • i. Abandonment of the employment;
  • j. Offensive act against the honor and good fame carried out on behalf of the company to any person or physical offenses and bullying, under the same conditions, except in self-defense or third parties;
  • k. Offensive act against the honor, good fame or physical offenses carried out against the employer and hierarchical superiors, except in self-defense or third parties;
  • l. Customary practice of gambling.

3.2. Unaccepted behaviour:
It is definetly unacceptable in the workplace or wherelse, under no circumstances, the situations below:

  • • Moral and sexual harassment;
  • • Lack of respect and courtesy;
  • • Threatening and unequal treatment by anyone, irrespective of hierarchical level or post;
  • • Social discrimination;
  • • Speak publicly on behalf of the company, in any sort of medias such as: social networks, blogs and so on, without being previously authorized by the company.

4. External Relationship

4.1 Clients:
Our services to the clients must be guided by the respect, courtesy and efficiency by providing clear and accurate information in order to reach the expected results.
4.2 Competitors:
WR PRIME LOG follows the rules of the fair market and doesn´t give any support to its collaborators for disloyal concurrence. Thus, the company is ruled by the national and international legislation, as far as the concurrence is concurrence.
The following behaviours are banned:

  • • Disclose to other competitors the values charged by WR PRIME LOG or any information which may ruin or reduce the competitiveness power of the company;
  • • Establish agreements with competitors on restricting business with suppliers and making fictitious offers
In other words, the fair concurrence must be born among our collaborators
4.3 Suppliers:
4.3.1 Private corruption: WR PRIME LOG develops business relationships with trustworthy suppliers and partners, dealing with all of them with no particular privilege, advantages or discrimination of any sort. Therefore, the compliance officers will analyze each one previously to its contracting and will send them a form to know whether their values meet ours, as follows:
  • I. Fulfilment of the applicable laws;
  • II. Prohibition of acts of corruption;
  • III. Respect to the Human rights;
  • IV. Assume the responsibility for the Health and Security of its collaborators;
  • V. Act in accordance with the local and international laws applicable to the environment protection;
  • VI. All the suppliers and business partners have to guide their conduct strictly according to this manual of Ethics and Behaviour Code;
  • VII. It won´t be accepted any relations with private agents to offer, promise, deliver or receive financial advantages with the intention of inducing the performance of unduly actions, as a rewarding or else to facilitate the arrangement of a service or product;
  • VIII. It won´t be also accepted to receive gifts, values, commissions or advantages to the company, employees or third parties. To prevent and check those conducts, it has been adopted specific procedures called red flags foreseen in the internal regiment so that every time a supplier´s conduct seems to be less usual or with down-market pricing, this must be reported to the superior compliance officer for approval or deny.
The collaborators have to abstain from perform any act which entails in private interests before WR PRIME LOG, such as:
  • o Use the power of influence in his/her own benefit;
  • o Trade any services / products for private reasons in the area of the company. This is also extended to commercial relations, in the societal participation or via third parties with WR´s PRIME LOG competitors or clients or else in association with parallel activity which prevents the collaborator from keeping his commitment to WR PRIME LOG;
  • o It is forbidden the breach of secrecy for private reasons.

5. Conflict of Interests

The conflict of interests comprises of the transference of information, patented or not, of technical, operational, commercial and juridical subjects, know-how, inventions, internal or external processes (administrative or juridical), formulas, designs, patented or not, business plans, accounting procedures, techniques and accrued experiences, documents, agreements, studies, opinions and researches that one can have access to:

  • a) by any physical means (express documents, fax papers, manuscripts, photos, etc);
  • b) by any electronic media, such as email, pendrive, etc;
  • c) orally.
The secrecy of the confidential information or intellectual propriety of WR PRIME LOG, still not divulged to the general public, must be reserved.
The non-public information about suppliers, clients, collaborators, agents, consultants and other third parties, should be equally protected according to legal and contracting terms.
Everyone must behave with honesty, disclosure, ethics and moral before national and international public authorities. It is considered as public authorities: managers and collaborators of an agency or legal state / governmental entity, at any level or post, from state companies and international public organizations, political candidates and managers / collaborators of political parties.
Finally, under no circumstances, WR´s PRIME LOG collaborators can promise, offer, give or receive, direct or indirectly, unduly advantages, from or to the ones mentioned above or another third party.
